New West Partnership Trade Agreement (NWPTA)

The “New West Partnership Trade Agreement (NWPTA)” legislation signed by the British Columbia, Saskatchewan and Alberta governments was effective as of July 1, 2012. This legislation builds on the TILMA legislation that was introduced in 2009 between British Columbia and Alberta.

As a result of the legislation a number of changes in Corporate Online and Name Requests Online (NRO) were implemented in 2012. The remaining changes to support the legislation changes in Corporate Online and Name Requests Online will be implemented this summer.

The schedule is as follows:

Phase I – July 9, 2012 – COMPLETED
· Addition of facilitation of name examinations through NRO for Saskatchewan extraprovincial registrations

· Addition of extraprovincial registrations in Saskatchewan

· Addition of change of head office of BC companies registered in Saskatchewan

· Addition of change of attorneys for BC companies registered in Saskatchewan

· Addition of resignation of attorneys for BC companies registered in Saskatchewan or Alberta

Phase II – July 8, 2013

· All other changes required in Corporate Online and NRO

· Registrations and filings for limited partnerships and limited liability partnerships with Saskatchewan

I have included only the Corporate Online changes in this email. If you also require a summary of the NRO changes please let me know.

A new release of Corporate Online is tentatively scheduled for July 6 – 7, 2013. Here is a list of transactions that will be added or changing.

New Online Transactions:

Change of Extraprovincial Name (NWPTA)
· New online transaction
· This transaction will replace submitting a paper form
· User must either be a BC OnLine user, an anonymous user or logged in with a Customer Profile
· Allows user to change the name of the extraprovincial registration in Saskatchewan and Alberta

Cancel Extraprovincial Partner (NWPTA)
· New online transaction
· This transaction will replace submitting a paper form
· User must either be a BC OnLine user, anonymous user or logged in with a Customer Profile
· Allows user to cancel the extraprovincial registration in Saskatchewan and Alberta

Changes will be made to the following transactions:

Continuation In, Continue in a Foreign ULC as a ULC
· Allows user to register extraprovincially in Alberta and/or Saskatchewan (existing functionality)

· Allows user to maintain existing Alberta or Saskatchewan extraprovincial registration of continued in company (new)

· Additional screen if company is continuing into BC from a non-NWPTA jurisdiction (any jurisdiction other than Alberta or Saskatchewan)

Regular Amalgamation
· Allows user to register extraprovincially in Alberta and/or Saskatchewan (existing functionality)

· If one of the BC companies was registered extraprovincially in Saskatchewan, allows user to register the amalgamation in Saskatchewan.

This replaces submitting a paper form. (new)
· No screen or data element changes

Register a BC Company with a New West Partner
· Allows user to register extraprovincially in Alberta and/or Saskatchewan (existing functionality)

· If the BC company was created through an amalgamation and one of the BC companies was registered extraprovincially in Saskatchewan, this transaction allows user to register the amalgamation in Saskatchewan. This replaces submitting a paper form. (new)

· If the BC company was previously registered extraprovincially in Saskatchewan, made inactive and then restored, this transaction allows user to restore previous Saskatchewan registration. (new)

· No screen or data element changes

No changes to the following transactions:
· Incorporation of a BC Company, Register an Extraprovincial Company, Notice of Change of Directors, Notice of Change of Office Addresses, Transition Application, Post Restoration Transition Application, BC Annual Report, Extraprovincial Annual Report, Voluntary Dissolution, Vertical and Horizontal, Notice of Alteration, Notice of Alteration from a BC Company to a ULC, Notice of Alteration from a ULC to a BC Company,

With these Corporate Online changes, a BC company will be able to extraprovincially register in both Alberta and Saskatchewan or in either province. The head office, attorney, change of name and cancellation maintenance filings allow users to keep their extraprovincial companies up-to-date in both Alberta and Saskatchewan.
